Merchant Terms of Service

These Merchant Terms of Service ("Terms") govern your ("Merchant," "you") use of Nucleus by CROVION (the "App"), provided by Crovion ("we," "us," "the Company"). By installing or using the App on your Shopify store, you agree to these Terms.
1. The Service
The App provides the following functionality, as installed on your Shopify store:
- Cash on Delivery (COD) checkout eligibility rules, enforced via a Shopify Checkout Validation Function, with an optional Payment Customization Function that can hide the COD payment option as a secondary convenience.
- One-time-password (OTP) verification of Customer phone numbers, either during checkout or after an order is placed, delivered by SMS and/or WhatsApp.
- An order verification workflow and merchant-facing dashboard/analytics.
- Courier/shipment tracking and delivery-status display, sourced from Shopify fulfillment data.
- Optional abandoned-checkout recovery messaging by SMS/WhatsApp, sent only where Shopify reports the Customer has given marketing/SMS consent.
- Optionally, an App Hosted Checkout: a theme app embed you may enable that redirects Customers to a checkout experience the App itself hosts (loaded through your own store domain via Shopify's App Proxy), where the App collects the Customer's delivery details and, for prepaid orders, processes payment through your own connected Razorpay account before creating the real order in your Shopify store via Shopify's Admin API. See the Privacy Policy, Section 3, for the full technical description of how this differs from checkout activity that stays inside Shopify's own native checkout.
Unless you enable App Hosted Checkout, the App does not process payments and does not operate a separate, self-hosted checkout — all checkout activity occurs inside Shopify's own checkout. If you do enable App Hosted Checkout, raw card, UPI, and bank-account details are still never collected or stored by the App itself — those are entered directly into Razorpay's own hosted payment widget.
2. Eligibility and your account
You must have a valid Shopify store and the authority to install apps on it. You are responsible for all activity that occurs under your Shopify staff accounts that access the App. The App does not currently offer its own internal staff roles or permission tiers — anyone with access to your Shopify Admin who can open embedded apps has the same level of access to the App's features. You are responsible for managing who on your team has that access, using Shopify's own staff-permission controls.
3. Your responsibilities as a Merchant
- Provide accurate store, product, and shipping information — the App's analytics and verification workflows rely on the data Shopify sends us.
- Use Customer personal data processed through the App lawfully, and only for the purposes disclosed to your Customers — including complying with applicable data protection and consumer protection laws that apply to you and your Customers.
- Obtain and maintain any consents required under applicable law before your Customers are contacted by SMS or WhatsApp (for example, marketing/telecom consent rules in your Customers' jurisdictions), and ensure that consent stays current — including promptly reflecting any withdrawal through your own store or other channels you control. The App relies on the consent signal Shopify reports to us (see our Privacy Policy, Section 6) and does not independently obtain, verify, or manage consent on your behalf.
- Provide your Customers with appropriate notice of your use of COD verification (including OTP messages) and, where applicable, SMS/WhatsApp messaging — for example, through your own published privacy policy and store terms.
- Use the App only for lawful purposes and in compliance with Shopify's own Acceptable Use Policy and Merchant Terms of Service.
- Keep your Shopify account credentials secure.
4. Data processing
Our collection, use, and retention of data through the App — including data about your Customers — is described in our Privacy Policy and our Data Processing Addendum, both incorporated into these Terms by reference. Where we process personal data of your Customers on your behalf, we do so as a processor acting on your instructions, as set out in the Data Processing Addendum.
5. Fees
Use of the App is subject to a fixed subscription fee of INR 1,000 per month. This is the only fee charged for use of the App — we do not charge additional usage-based fees, do not require a minimum commitment period, and do not charge a cancellation fee for uninstalling the App. The App does not currently process this billing within the app itself — payment is arranged directly with you outside the App at this time.
6. Term, suspension, and termination
These Terms apply for as long as the App remains installed on your store. You may uninstall the App at any time from your Shopify Admin. We may suspend or restrict access to the App if we reasonably believe you are in material breach of these Terms or applicable law.
When you uninstall the App, your store's data is retained for a 30-day grace period (in case of accidental uninstall) and then automatically and permanently deleted, as described in our Privacy Policy.
7. Intellectual property
We retain all rights, title, and interest in and to the App, including its underlying software, design, and documentation. These Terms grant you a limited, non-exclusive, non-transferable right to use the App on your Shopify store for as long as it remains installed and these Terms are in effect.
8. Disclaimers
The App, including its verification workflow and any estimated metrics it displays (such as the estimated returned-to-origin figure described in our Privacy Policy), is provided "as is" and "as available," without warranty of any kind, express or implied. We do not guarantee that the App will prevent fraudulent or undeliverable COD orders, and estimated metrics are business estimates, not guarantees or predictions about any individual order or Customer.
9. Limitation of liability
To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or related to your use of the App. Subject to the carve-outs below, our total liability arising out of or related to these Terms will not exceed the total fees actually paid by you to us for the App during the twelve (12) months immediately preceding the event giving rise to the claim (calculated at the fixed INR 1,000/month subscription fee described in Section 5, or any successor fee actually paid).
These limitations do not apply to liability that cannot be limited or excluded under applicable law — for example, liability arising from a party's gross negligence, willful misconduct, or fraud.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the effective date above. Continued use of the App after an update constitutes acceptance of the revised Terms.
11. Governing law and jurisdiction
These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Subject to applicable law, you and we submit to the exclusive jurisdiction of the courts located in Firozabad, Uttar Pradesh, India.
